Free Films TV — Film License Agreement

This Film License Agreement ("Agreement") is entered into between Free Films TV, operated by ProShot Media LLC ("FFTV"), and the filmmaker or rights holder submitting a film through the FFTV intake process ("Filmmaker").

1. Grant of License

Filmmaker grants FFTV a non-exclusive license to host, distribute, promote, and modify the submitted film ("Film") on the Free Films TV YouTube channel and any other platforms FFTV operates on or distributes content through, including but not limited to Instagram, TikTok, YouTube Shorts, Facebook, LinkedIn, Reddit, and any other social media platforms or channels FFTV sees fit. Filmmaker retains full ownership of the Film and all underlying intellectual property rights.

2. Scope of Use

FFTV may: upload and publish the Film on the Free Films TV YouTube channel and any other platform listed in Section 1; create and use custom thumbnails, titles, descriptions, and metadata; include the Film in YouTube playlists and channel programming; promote the Film through FFTV's social media accounts and cross-promotion channels; enable monetization (ads) on the Film across all applicable platforms; edit, alter, or modify the Film's content for the purpose of resolving copyright claims, addressing platform policy violations, or optimizing the Film for increased viewership and discoverability, while preserving the overall integrity of the Film; and cut, clip, or re-edit the Film into shorter videos or short-form content for the purpose of promoting the Film, the Free Films TV channel, or FFTV's presence on other platforms.

FFTV will not: sub-license or sell the Film to third parties without written consent; or claim ownership of the Film or its underlying intellectual property.

3. Revenue Sharing

FFTV and Filmmaker agree to split ad revenue generated by the Film across all applicable platforms. The specific revenue split percentage will be agreed upon in writing before the Film is published. If no revenue split is agreed upon in writing prior to publication, the default split shall be 50% to FFTV and 50% to Filmmaker.

FFTV does not guarantee that the Film will generate any ad revenue. Revenue depends on factors including but not limited to viewership, platform ad rates, advertiser demand, content eligibility for monetization, and platform policies — all of which are outside FFTV's control. Filmmaker acknowledges that it is possible the Film may generate little to no revenue.

Revenue reports shall be provided monthly, subject to revenue being generated by the respective content. If the Film has not generated any ad revenue in a given month, FFTV is under no obligation to provide a report for that period. Payments will be issued on a quarterly basis within 30 days of the end of each calendar quarter, only if the Film has generated ad revenue during that quarter. If no revenue has been generated, no payment is due and FFTV is not in breach of this Agreement for not issuing one.

If FFTV fails to issue a payment for revenue that has been generated within 30 days of the quarterly due date, Filmmaker may provide written notice of the overdue payment. FFTV shall have 15 days from receipt of such notice to cure the delinquency. If FFTV fails to cure within the 15-day period, Filmmaker may request removal of the Film per Section 5, and the minimum term requirement shall be waived for that request.

4. Filmmaker Representations and Indemnification

Filmmaker represents and warrants that: they are the sole owner or authorized rights holder of the Film; the Film does not infringe on any third-party intellectual property rights; they have obtained all necessary releases, permissions, and clearances; and the Film does not contain unlawful content.

Filmmaker agrees to indemnify, defend, and hold harmless FFTV, ProShot Media LLC, and its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to any breach of the above representations and warranties. This includes, but is not limited to, any third-party copyright or intellectual property claims, content takedown requests, platform strikes, or legal actions resulting from Filmmaker's Film or the information provided during the submission process.

5. Term and Termination

This Agreement takes effect upon FFTV's acceptance and publication of the Film and shall remain in effect unless terminated as described below. FFTV may remove the Film from any or all platforms at any time, at its sole discretion, for any reason or no reason, without prior notice to Filmmaker.

Filmmaker may request removal of the Film by providing written notice to FFTV, subject to the following: (a) the Film must have been published on the FFTV channel for a minimum of twelve (12) months before a removal request will be considered; and (b) upon receipt of a valid removal request, FFTV shall have sixty (60) days to remove the Film from its platforms.

Any short-form content, clips, promotional edits, or derivative works created by FFTV under Section 2 may remain published on FFTV's platforms after the Film is removed, unless otherwise agreed in writing. Revenue earned prior to removal remains payable per Section 3.

6. Limitation of Liability

FFTV is not liable for any loss of revenue, exposure, or viewership resulting from platform changes, algorithm updates, content policy enforcement, or other factors outside FFTV's control. In no event shall FFTV's total liability to Filmmaker under this Agreement exceed the total revenue payments made to Filmmaker in the twelve (12) months preceding the claim.

7. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of California. The arbitrator's decision shall be final and binding. Each party shall bear its own costs and attorney's fees unless the arbitrator determines otherwise. The parties agree to attempt informal resolution for thirty (30) days before initiating arbitration.

8. Governing Law

This Agreement shall be governed by the laws of the State of California.
